BOARD OF DIRECTORS
MEETING MINUTES
April 17, 2003

The Board of Directors of the Windsor Fire Protection District met at Station 1, 8200 Old Redwood Highway, Windsor, California, on Wednesday, April 17, 2003. President McDowell called the meeting to order at 7:00 pm.

Directors Present: Lowe, McDowell, Olufs, and Pozzi

Staff Present: Chief Ron Collier; Battalion Chief Matt Gustafson; Battalion Chief David Cornelssen; William Arnone, District Counsel; Ginger Hamilton, Secretary to the Board; and four guests

PLEDGE OF ALLEGIANCE

CHANGES TO THE AGENDA: President McDowell reported the closed session items would be taken out of the listed order: 2,3,1 rather than 1,2,3.

CITIZEN PUBLIC APPEARANCE: None

PRESENTATION: President McDowell presented a plaque to Todd Fletcher in recognition and appreciation of his service to the District and the community.

APPROVAL OF MINUTES: 2003-04-01 Motion to approve minutes of the March 19, 2003 board meeting was made by Director Lowe and seconded by Director Olufs. 4/0/0

CORRESPONDENCE: 2003-04-02 March/April 2003 bill summary was reviewed and correspondence discussed.

ACTION ITEM: 2003-04-03 On behalf of the Board, President McDowell conducted interviews of the two candidates for the director vacancy, John Nelson and Lawrence Williamson. Each was asked the same series of questions, each was given an opportunity to address the Board, each director
was given the opportunity to ask his own question(s). None of the directors asked any additional questions.

ACTION ITEM: 2003-04-04 Motion to appoint John Nelson to the Board was made by Director Pozzi and seconded by President McDowell. 2/2/0
Motion to appoint Lawrence Williamson to the Board was made by Director Lowe and seconded by Director Olufs. 2/2/0
President McDowell thanked both candidates for their time and instructed Chief Collier to make the proper notifications to the elections department and the Sonoma County Board of Supervisors.

ACTION ITEM: 2003-04-05 A motion to appoint Director Lowe secretary of the Board was made by Director Olufs and seconded by Director Pozzi. 4/0/0

APPOINTMENTS: 2003-04-06 President McDowell appointed Director Pozzi to the Labor Negotiations Committee and elected not to appoint anyone to the Education Committee. He will sit as the only director on the Education Committee.

ACTION ITEM: 2003-04-07 A motion to approve reimbursing Chief Gustafson for the cost of a Class A uniform was made by Director Pozzi and seconded by Director Lowe. 4/0/0

BOARD COMMITTEE REPORTS:
Budget Committee: Director Olufs reported he met with the Chief, Chief Gustafson and Ms. Soares on Tuesday and Director Lowe met with the Chief and Chief Gustafson on Wednesday. Will schedule another meeting soon.
Labor Negotiations: Director Lowe reported he had met with Chief Gustafson and has had communication from Chief Collier.

Education Committee: McDowell reported Data Instincts is doing a very good job. There have been two meetings since the last Board meeting. We should soon be able to announce the Chair of the citizens' committee, "Friends of Windsor Fire." The resolution to seek an increase will be on the May 2003 meeting agenda and, if the resolution passes, a public hearing will be on the June 2003 meeting agenda.

LEGAL COUNSEL REPORT: Mr. Arnone reported he continues to work with Mark Millan regarding difference between educating and advocating. He has also prepared the resolution and the ordinance.

OPERATIONS REPORT: Chief Gustafson presented the operations report.

WINDSOR PROFESSIONAL FIREFIGHTERS ASSOCIATION REPORT: Captain Crothers had nothing to report but requested Board let their association know when they can begin working on the tax initiative.

WINDSOR VOLUNTEER FIREFIGHTERS ASSOCIATION REPORT: None

BOARD MEMBER COMMENTS/REPORTS: Director Pozzi expressed appreciation for the ethics books recently provided to the directors.

BOARD PRESIDENT'S COMMENTS/REPORTS: President McDowell discussed his memo of April 9 and said he has reconsidered Item 4. He also reminded the Board of the joint meeting with the Town of Windsor Council on Wednesday, April 30, at 7:00 here.

ADJOURNMENT TO CLOSED SESSION: 7:49

Item 1-Government Code Section 54957-Public employee performance evaluation: Review 2002 performance evaluation for Chief Ron Collier.
Item 2-Government Code Section 54957.6-Meet and confer with agency negotiator(s) Arnone, Lowe & Pozzi regarding contract negotiations with employee organization Windsor Fire Protection District Administrative Team.
Item 3-- Government Code Section 54957.6-Meet and confer with agency negotiator(s) Arnone, Lowe, & Pozzi regarding contract negotiations with employee organization Windsor Professional Firefighters Association.

The Chairman then asked Mr. Arnone to announce the adjournment into closed session. At 7:49 p.m. Mr. Arnone announced that the Board would adjourn to a closed session to discuss three items: Item 1-Government Code Section 54957, public employee performance evaluation: Review 2002 performance evaluation with Chief Ron Collier. Item 2-Government Code Section 54957.6, meet and confer with agency negotiator(s) Arnone & Lowe regarding contract negotiations with employee organization Windsor Fire Protection District Administrative Team. Item 3-Government Code Section 54957.6, meet and confer with agency negotiator(s) Arnone & Lowe regarding contract negotiations with employee organizations Windsor Professional Firefighters Association. The Board, thereafter, deliberated in closed session until 9:38 p.m. when the open session portion of the meeting resumed. Mr. Arnone then announced that the Board had discussed the three items listed on the agenda and that no action was taken. At 9:40 p.m., Director Pozzi made a motion to adjourn to a special meeting with the Windsor Town Council, Wednesday, April 30, 2003 at 7:30 p.m., which was seconded by Director Olufs and passed unanimously, whereupon the meeting was adjourned.
